Havok physics engine is already owned by Microsoft and is the long-running physics-based middle toolset that has been used in numerous games over the time. It is now officially under Microsoft's Corporation after the today's announcement.
A blog from the official Microsoft website said that the news about Havok is owned by Microsoft. According to Cinemablend, the acquirement of this physics engine is something to do with the upcoming, physics-heavy open-world action game for the Xbox One, Crackdown 3 as stated on the blog.

According to Gamerant, Havok will join in the cloud and their existing tools - Direct X12, Visual Studio, and Azure.
Microsoft purchased Havok to provide their developers tools to unleash their creativity to the world. According to the company, innovation for the benefit of development partners will still be continued. The game Crackdown 3 is part of their innovation and also providing users most complete cloud service.
Microsoft first real-world testbed is the game Crackdown 3 which uses Azure cloud services. A lot has been said about the power of the cloud which is the only thing that is not yet seen by the users. Microsoft has many simulations and physics-based compute tests that are in closed-door or controlled environments.
Many are in doubt and suspicious regarding the power of the cloud to real-world application given that it is reliant to internet connectivity and bandwidth consistency. For Crackdown 3, the game is promoted to contain multiplayer maps with fully destructible city environments. And also, it uses stress-based physics same as Volition Studios' Red Faction: Guerrilla, so distributable mass and weight play a large part on how structures collapse, damage, or fall.
Given the amount of processing overhead and the complexity of these calculations are required to render them in real time at a moderate frame rate. Microsoft selected the use of their Azure cloud services as a processing helpmeet for Xbox One. This feature is limited for Crackdown 3 online multiplayer; in the other hand, gamers should be able to play the single-player portion of the game, but it has not been confirmed yet.
Crackdown 3 is set to be release for Xbox One third quarter of 2016.
